Non-Disclosure Agreement

NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into between Crypto Concierge VIP ("Disclosing Party") and the individual identified below ("Receiving Party").

1. Confidential Information

The Receiving Party acknowledges that in connection with discussions regarding a potential business relationship, investment, or partnership with Crypto Concierge VIP, they may receive or have access to confidential and proprietary information including but not limited to: business plans, financial projections, investor materials, technology, trade secrets, customer data, operational strategies, and any other non-public information disclosed by the Disclosing Party ("Confidential Information").

2. Obligations

The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose any Confidential Information to any third party without prior written consent from the Disclosing Party; (c) use the Confidential Information solely for the purpose of evaluating a potential business relationship with Crypto Concierge VIP; (d) protect the Confidential Information with at least the same degree of care used to protect their own confidential information, but no less than reasonable care.

3. Exclusions

This Agreement does not apply to information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without use of Confidential Information; (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

4. Term

This Agreement shall remain in effect for a period of three (3) years from the date of signing, unless terminated earlier by mutual written agreement.

5. Return of Information

Upon request by the Disclosing Party, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.

6. No Licence

Nothing in this Agreement grants the Receiving Party any rights in or to the Confidential Information except as expressly set forth herein.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements relating to the same.

By completing and submitting the form below, the Receiving Party acknowledges that they have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement. This digital acceptance constitutes a legally binding signature.
