Mandatory Insurance Requirement
All Partners must hold and maintain adequate business insurance — including public liability, professional indemnity, and activity-specific cover — at all times. This is a non-negotiable condition of partnership. See Section 3 for full details. Failure to maintain required insurance is grounds for immediate termination.

1. Introduction & Acceptance
These Partner Terms and Conditions ("Partner Terms") govern the relationship between Crypto Concierge VIP ("we", "us", or "our") and any individual, company, or business entity ("Partner", "you", or "your") that provides services to or on behalf of Crypto Concierge VIP Members.
By accepting a referral, booking, or service request from Crypto Concierge VIP, or by entering into any written or verbal agreement with us to provide services to our Members, you agree to be legally bound by these Partner Terms in their entirety. These Partner Terms form a binding contract between you and Crypto Concierge VIP.
If you do not agree to these Partner Terms, you must not accept any service requests from Crypto Concierge VIP and must notify us immediately at [email protected].
2. Nature of the Relationship
2.1 Independent Contractor — You are an independent contractor and not an employee, agent, joint venture partner, or representative of Crypto Concierge VIP. Nothing in these Partner Terms shall be construed as creating an employment relationship, agency, partnership, or joint venture between you and Crypto Concierge VIP.
2.2 No Authority to Bind — You have no authority to enter into contracts, make representations, or incur liabilities on behalf of Crypto Concierge VIP. You must not represent yourself as an employee or agent of Crypto Concierge VIP to any Member or third party.
2.3 Your Own Business — You operate your own independent business and are solely responsible for all aspects of that business, including but not limited to: staffing, equipment, premises, licensing, regulatory compliance, tax obligations, and insurance.
3. Insurance Obligations — Mandatory
3.1 Mandatory Insurance Requirement — This is a condition of your engagement with Crypto Concierge VIP. You must, at all times during which you are providing or available to provide services to our Members, hold and maintain adequate and appropriate business insurance coverage. Failure to maintain the required insurance is a material breach of these Partner Terms and will result in immediate termination of your partnership with us.
3.2 Required Insurance Policies — As a minimum, you must hold the following insurance policies, each with coverage limits appropriate to the nature and scale of your business and the services you provide:
(a) Public Liability Insurance — minimum £2,000,000 per occurrence, covering injury to third parties (including Members) and damage to third-party property arising from your business activities;
(b) Professional Indemnity Insurance — covering claims arising from errors, omissions, negligence, or breach of professional duty in the delivery of your services;
(c) Employers' Liability Insurance — if you employ any staff, as required by the Employers' Liability (Compulsory Insurance) Act 1969 (or equivalent legislation in your jurisdiction);
(d) Product Liability Insurance — if your services involve the supply of food, beverages, physical goods, or any product that could cause harm;
(e) Activity-Specific Insurance — if you provide or facilitate any high-risk, adventure, or physical activity services (including but not limited to: skiing, water sports, aerial activities, motorsport, horse riding, climbing, or any outdoor adventure activity), you must hold specialist activity insurance covering all such activities and all participants, including Crypto Concierge VIP Members.
3.3 Coverage for Members — Your insurance policies must explicitly cover claims made by or on behalf of third-party clients, including Crypto Concierge VIP Members, arising from your provision of services. You must ensure that your insurer is aware that you provide services to third-party clients referred by a concierge platform.
3.4 Evidence of Insurance — You must provide Crypto Concierge VIP with valid certificates of insurance upon request and in any event before commencing the provision of services. You must notify us immediately if any of your insurance policies are cancelled, lapse, or their coverage is materially reduced.
3.5 No Reliance on Crypto Concierge VIP — Crypto Concierge VIP does not hold insurance that covers your business operations, your staff, your equipment, or claims arising from your services. You must not rely on any insurance held by Crypto Concierge VIP to cover any aspect of your business or the services you provide.
4. Response Time Obligations
4.1 Acknowledgement Windows — Response time is a core service standard of the Crypto Concierge VIP network. Partners must acknowledge all enquiries within the response window applicable to the client's membership tier: Bronze members within 4–6 hours; Silver members within 2–4 hours; Gold members within 1–2 hours; Platinum members within 1 hour.
4.2 Simple Requests — Simple service requests, including but not limited to restaurant reservations, car and driver bookings, spa appointments, and hotel bookings, must be actioned and confirmed within 15–30 minutes of receipt.
4.3 Complex Package Requests — Complex or multi-element package requests must be acknowledged promptly and actioned within a few hours of receipt, with a full response or progress update provided to Crypto Concierge VIP within that window.
4.4 Consequences of Non-Response — Failure to respond within the required window may result in the enquiry being immediately reassigned to another partner. Repeated failures to meet response time obligations may result in suspension or permanent removal from the Crypto Concierge VIP partner network.
5. Service Standards & Quality
4.1 Standard of Service — You agree to provide all services to Crypto Concierge VIP Members to the highest professional standard, consistent with the luxury positioning of the Crypto Concierge VIP brand. All services must be delivered with reasonable skill, care, and diligence.
4.2 Licensing & Compliance — You are solely responsible for obtaining and maintaining all licences, permits, certifications, and regulatory approvals required to operate your business and deliver your services in all relevant jurisdictions. You warrant that you are and will remain compliant with all applicable laws and regulations.
4.3 Health & Safety — You are solely responsible for the health and safety of Crypto Concierge VIP Members while they are in your care or participating in your services. You must comply with all applicable health and safety legislation and maintain appropriate risk assessments and safety procedures.
4.4 Staffing — All staff engaged in delivering services to Crypto Concierge VIP Members must be appropriately qualified, trained, vetted, and supervised. You are responsible for the conduct of all your staff and subcontractors.
5. Liability & Indemnification
5.1 Your Liability — You accept full and sole liability for any injury, illness, death, loss, damage, delay, or other harm suffered by a Crypto Concierge VIP Member or any third party arising from or in connection with your provision of services, your business operations, your staff, your equipment, or your premises.
5.2 Indemnification of Crypto Concierge VIP — You agree to fully indemnify, defend, and hold harmless Crypto Concierge VIP, its directors, officers, employees, and agents from and against any and all claims, demands, losses, damages, costs, expenses (including reasonable legal fees), and liabilities of any kind arising from or in connection with:
(a) your provision of services to Crypto Concierge VIP Members;
(b) any breach by you of these Partner Terms;
(c) any negligence, misconduct, or unlawful act by you, your staff, or your subcontractors;
(d) any failure by you to hold or maintain adequate insurance;
(e) any claim by a Member or third party arising from your services.
5.3 No Liability of Crypto Concierge VIP — Crypto Concierge VIP acts solely as a referral and facilitation intermediary. We are not liable to you or to any Member for any aspect of the services you provide. We make no representations or warranties regarding the volume of referrals, the suitability of Members, or any other matter relating to your business.
6. Member Data & Confidentiality
6.1 Data Protection — Any personal data relating to Crypto Concierge VIP Members that is shared with you for the purpose of fulfilling a service request must be processed in accordance with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. You must not use Member data for any purpose other than fulfilling the specific service request for which it was provided.
6.2 Confidentiality — You must treat all information relating to Crypto Concierge VIP Members, including their identity, preferences, requests, and contact details, as strictly confidential. You must not disclose such information to any third party without our prior written consent, except as required by law.
6.3 No Direct Solicitation — During the term of your partnership with Crypto Concierge VIP and for a period of 12 months thereafter, you must not directly solicit or approach any Crypto Concierge VIP Member for the purpose of providing services outside of the Crypto Concierge VIP platform, unless you have our prior written consent.
7. Branding & Representation
7.1 No Use of Our Brand — You must not use the Crypto Concierge VIP name, logo, trademarks, or branding in any marketing, advertising, or communications without our prior written consent.
7.2 Accurate Representation — You must not make any false or misleading representations about your services, qualifications, or relationship with Crypto Concierge VIP to any Member or third party.
7.3 Complaints — If a Crypto Concierge VIP Member raises a complaint about your services, you agree to respond promptly and professionally and to cooperate fully with any investigation conducted by Crypto Concierge VIP.
8. Fees & Payment
8.1 Commission — Crypto Concierge VIP charges Members a Booking Fee of between 5% and 10% on all services arranged through the Platform. This fee is charged to the Member and does not affect the rates you charge for your services, unless otherwise agreed in writing.
8.2 Payment Terms — Payment terms for your services will be agreed on a case-by-case basis or as set out in any separate written agreement between you and Crypto Concierge VIP. Unless otherwise agreed, payment will be made within 30 days of receipt of a valid invoice.
8.3 Taxes — You are solely responsible for all taxes, VAT, national insurance, and other fiscal obligations arising from payments made to you by Crypto Concierge VIP or Members.
9. Termination
9.1 Termination by Either Party — Either party may terminate this partnership arrangement at any time by providing 30 days' written notice to the other party.
9.2 Immediate Termination — Crypto Concierge VIP may terminate your partnership immediately and without notice if you: fail to maintain the required insurance; breach any provision of these Partner Terms; engage in conduct that is harmful, illegal, or damaging to Crypto Concierge VIP's reputation; or fail to meet the required service standards.
9.3 Effect of Termination — Upon termination, you must immediately cease representing yourself as a Crypto Concierge VIP partner, return or destroy any Member data in your possession, and fulfil any outstanding service commitments already confirmed to Members.
10. Governing Law & Disputes
These Partner Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Partner Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in London under the rules of the London Court of International Arbitration (LCIA).
If any provision of these Partner Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
11. Amendments
Crypto Concierge VIP reserves the right to amend these Partner Terms at any time. Partners will be notified of material changes with 30 days' written notice. Continued acceptance of service referrals after changes take effect constitutes acceptance of the revised Partner Terms.

Partner Acknowledgement
By accepting any service referral or booking from Crypto Concierge VIP, you confirm that you have read, understood, and agree to be bound by these Partner Terms and Conditions in their entirety — including the mandatory insurance obligations set out in Section 3. You confirm that you hold all required insurance policies and that those policies cover services provided to Crypto Concierge VIP Members.
